1. Acceptance of Terms

Welcome to Trovest. These Terms of Service ("Terms") govern your access to and use of the Trovest website (trovest.io), mobile applications, and related services (collectively, the "Services") operated by Trovest ("we," "our," or "us").

By creating an account, accessing, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our Services.

You must be at least 18 years old to use the Services. By using Trovest, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. Description of Services

Trovest provides an AI-powered investment analysis platform that includes:

  • Stock scoring based on a proprietary 10-metric system
  • AI-generated research reports and analysis
  • Fair value calculations and valuation metrics
  • Portfolio tracking and monitoring (via Plaid integration)
  • Watchlists and company tracking features
  • SEC filing summaries and analysis

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

3. Important Investment Disclaimer

TROVEST IS NOT A REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, OR FINANCIAL PLANNER.

The Services are provided for informational and educational purposes only. Nothing on Trovest constitutes:

  • Investment advice or recommendations
  • Financial planning or tax advice
  • A solicitation to buy or sell any securities
  • An offer to manage your money or portfolio

All investment decisions are made solely by you. You are fully responsible for evaluating the merits and risks of any investment decision you make. Past performance does not guarantee future results.

You should consult with a qualified financial advisor, tax professional, or other licensed professional before making any investment decisions. Trovest does not guarantee the accuracy, completeness, or timeliness of any information provided.

No Fiduciary Relationship

Your use of the Services does not create a fiduciary, advisory, or agency relationship between you and Trovest. We do not owe you any duty to act in your best interest beyond providing the Services as described in these Terms.

4. Account Registration

To access certain features of the Services, you must create an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

5. Subscription and Billing

Free and Paid Plans

Trovest offers both free and paid subscription plans. Free accounts have limited access to certain features. Paid subscriptions unlock additional functionality as described on ourPricing page.

Billing

  • Paid subscriptions are billed in advance on a recurring basis (monthly or annually)
  • All payments are processed securely through Stripe
  • Prices are listed in US dollars and exclude applicable taxes
  • You authorize us to charge your payment method for all fees incurred

Free Trial

We may offer a free trial period for paid plans. At the end of the trial, your subscription will begin unless you cancel before the trial ends. No credit card is required to start a trial.

Cancellation

  • You may cancel your subscription at any time from your account settings
  • Cancellation takes effect at the end of your current billing period
  • You will retain access to paid features until the end of your billing period
  • We do not provide prorated refunds for partial billing periods

Refunds

All sales are final. Refunds are provided at our sole discretion and only in exceptional circumstances. Contact support@trovest.io for refund requests.

Mobile App Billing

Subscriptions purchased through the Apple App Store or Google Play Store are subject to the respective platform's billing policies, terms, and refund rules. Trovest does not control mobile platform billing processes. For subscriptions purchased through these platforms, please contact Apple or Google directly for billing inquiries.

6. User Conduct

You agree not to use the Services to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Services
  • Scrape, crawl, or collect data without permission
  • Use automated tools to access the Services (except as permitted)
  • Share your account credentials with others
  • Resell or redistribute the Services without authorization
  • Use the Services for any unlawful or fraudulent purpose

Violation of these rules may result in immediate termination of your account.

7. Intellectual Property

Our Content

The Services and all content, features, and functionality—including but not limited to the scoring algorithms, AI analysis, text, graphics, logos, and software—are owned by Trovest and are protected by copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial investment research purposes.

Restrictions

You may not copy, modify, distribute, sell, lease, or create derivative works based on our content without our express written permission. You may not reverse engineer or attempt to extract the source code of our software.

8. Third-Party Services

The Services integrate with third-party services including:

  • Plaid — For brokerage account linking (read-only access)
  • Stripe — For payment processing
  • Financial data providers — For stock data and financial information

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of third-party services.

When you connect your brokerage account via Plaid, you authorize Plaid to access your account information on your behalf. Trovest receives read-only access to your holdings and cannot execute trades or transfer funds.

9. Data Accuracy and Availability

While we strive to provide accurate information, we do not guarantee that the data, scores, or analysis provided through the Services are:

  • Complete, accurate, or up-to-date
  • Free from errors or omissions
  • Suitable for any particular investment purpose
  • Available without interruption

Financial data is sourced from third-party providers and may be delayed or contain errors. Always verify information independently before making investment decisions.

Artificial Intelligence Limitations

AI-generated insights, scores, and analysis are probabilistic in nature and may produce incomplete, inaccurate, or outdated outputs. You acknowledge that AI models do not account for your personal financial situation, risk tolerance, or investment objectives and should not be relied upon as the sole basis for any investment decision.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TROVEST AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Investment losses or financial damages resulting from use of the Services
  • Damages arising from your reliance on any information provided
  • Damages caused by third-party services or data providers

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO TROVEST IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or reliability of any information

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected.

12. Indemnification

You agree to indemnify, defend, and hold harmless Trovest and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your investment decisions.

13. Termination

Termination by You

You may terminate your account at any time by using the account deletion feature in your settings or by contacting us at support@trovest.io.

Termination by Us

We may suspend or terminate your account at any time, with or without cause, including if we reasonably believe you have violated these Terms. Upon termination:

  • Your right to use the Services will immediately cease
  • We may delete your account and associated data
  • Any outstanding fees remain payable

Survival

Sections relating to intellectual property, disclaimers, limitations of liability, indemnification, and governing law shall survive termination.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in Pennsylvania, and you consent to the personal jurisdiction of such courts.

15. Dispute Resolution

Before filing a legal claim, you agree to attempt to resolve any dispute informally by contacting us at legal@trovest.io. We will attempt to resolve the dispute within 30 days.

If informal resolution is unsuccessful, either party may pursue formal legal proceedings as outlined in the Governing Law section above.

16. Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration on an individual basis, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Class Action Waiver: You agree that any arbitration or proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Trovest.

The arbitration shall be conducted in accordance with the rules of the American Arbitration Association ("AAA"). The arbitrator's decision shall be final and binding. Judgment on the arbitration award may be entered in any court having jurisdiction.

17. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

  • We will notify you via email or in-app notification
  • We will update the "Last Updated" date at the top of this page
  • Changes become effective upon posting unless otherwise stated

Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services.

18. Miscellaneous

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Trovest regarding the Services.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
